Kahn Swick & Foti, LLC and KSF partner Charles C. Foti, Jr., former Attorney General of Louisiana, notified EquipmentShare.com investors of a securities class action pending in the United States District Court for the Southern District of New York. The lawsuit covers investors who bought or otherwise acquired Class A common stock issued in, or traceable to, the company’s January 2026 initial public offering, as well as EquipmentShare securities purchased between January 23 and June 23, 2026, inclusive. The complaint alleges that EquipmentShare and certain executives failed to disclose material information, including additional related-party transactions and the continuation or insufficient reduction of transactions involving entities owned or controlled by the co-founders. It further alleges that the company’s financial statements and positive statements about its business, operations and prospects were materially misleading or lacked a reasonable basis. Investors who suffered losses may ask the court to appoint them as lead plaintiff by September 21, 2026, although participation in any recovery does not require serving as lead plaintiff.
