Gentoo Media Inc. has called an Extraordinary General Meeting of Shareholders for Nov. 2, 2026, at 10:00 CET at Nybrogatan 12 in Stockholm. Shareholders will vote on amendments to the company’s Third Amended and Restated Certificate of Incorporation, an increase in board size from four to five members, and the election of Łukasz Wójciak as a director. The proposed charter changes would raise authorized Common Stock from 200 million to 250 million shares and create 100 million shares of Class Z Common Stock, an unlisted class subject to a mandatory 12-month lock-up. The changes are intended to support a planned directed issue of new unlisted shares, subject to shareholder and other regulatory approvals. The issue would be fully underwritten by MJ Foundation Fundacja Rodzinna, Fundacja Zbigniewa Juroszka Fundacja Rodzinna and Betplay Capital Fundacja Rodzinna, directly or through designated affiliates. Gentoo had 134,707,976 Common Stock shares outstanding as of the notice date, with one vote per share. Shareholders must be registered by Oct. 23, 2026, and attendance or proxy deadlines vary by whether holdings are registered in Sweden or Norway.
