A securities fraud class action has been filed against The Simply Good Foods Company (NASDAQ: SMPL) in the U.S. District Court for the Southern District of New York on behalf of investors who bought or acquired the company’s common stock from October 24, 2024, through April 8, 2026. The complaint, captioned Monroe County Employees’ Retirement System v. The Simply Good Foods Company, No. 26-cv-06971 (S.D.N.Y.), alleges that investors were misled about the company’s strategy and execution after its acquisition of OWYN. Good Foods announced the $280 million all-cash deal on April 29, 2024, completed it on June 13, 2024, and later said OWYN’s integration was progressing as planned. The complaint alleges that key managers left, a replacement organizational structure became bloated and lacked strategic cohesion, product-quality problems hurt sales and customer loyalty, and execution failures and higher management costs compressed margins, prompting heavier discounting and reduced brand support. On April 9, 2026, Good Foods reported second-quarter 2026 results, including a nearly 17% year-over-year decline in OWYN sales and falling customer consumption across all brands. The company acknowledged that strategic choices had ultimately weakened performance, after which its stock fell more than 27% over two trading days. Investors have until October 13, 2026, to seek appointment as lead plaintiff, although choosing not to do so does not affect eligibility to share in any recovery.
