Summary

AI Financial, the Trump family-backed public company formerly known as Alt5 Sigma, is exploring a sale of its core payments business after Perpetuals.com disclosed a non-binding term sheet to acquire Alt5 Sigma Canada for up to $15 million. The proposed transaction remains preliminary and would require due diligence, agreement on price, definitive documents, board approval and regulatory clearance. Perpetuals.com said on July 7 that it is still evaluating how the acquisition would fit its product roadmap. The target business is a profitable subsidiary of AI Financial, which rebranded from ALT5 Sigma Corporation in April. Reuters reported the Las Vegas company recorded roughly $24.8 million in fintech revenue in 2025, processed about $3.5 billion in transactions and had more than $8 billion in cumulative volume since inception, while losing $5.86 per share over the trailing 12 months. The talks come as AI Financial has warned investors about its financial condition. In its latest annual filing, the company reported a loss of more than $341 million and said there was serious doubt about its ability to continue operating for another year. The company had raised $750 million to buy more World Liberty Financial after control shifted through a WLFI-linked transaction, but WLFI later fell about 70% and AI Financial shares dropped more than 90%, leaving its market value near $80 million. Investor attention has also centered on Alt5’s links to World Liberty Financial, the Trump family’s crypto venture. Cryptopolitan reported the company tied itself to World Liberty through a $1.5 billion crypto reserve arrangement that gave World Liberty stock and board seats, while Eric Trump appeared on the company’s leadership page as an adviser and board observer as recently as March before no longer appearing there by late April. Perpetuals.com is due to present to investors on July 9 and July 15, where questions about the proposed deal may surface.
