Summary

DeFi Development Corp. (Nasdaq: DFDV) has transferred day-to-day control of DisclaimerCoin (DONT), the memecoin it launched in January 2026, to ZeroStack Holdings CEO Daniel Reis-Faria and a dedicated team. DFDV said it will keep its roughly 31.6% treasury stake in DONT and maintain the launch-era commitment to hold those tokens permanently, while the new team will oversee the allocation set aside for ecosystem, growth and community purposes, amounting to about 21.1% of total supply. The handover follows a strategic relationship formed by the two companies in September 2025 around institutional Solana adoption through DFDV’s Treasury Accelerator program. DONT was launched as a deliberately self-aware joke token, with a website that says it has no value, no utility and no future, and no roadmap, whitepaper or pitch deck. DFDV shares traded at $3.19 with a market capitalization of about $96 million on the day of the announcement, down roughly 84% over the prior year, and the stock fell about 6.7% on the news. The move also comes as HCMC recently added DONT to its treasury, with HCMC CEO Jeff Holman describing the token as bringing greater transparency, accountability and alignment to the meme coin market.
