Dream Finders Homes agreed after several months of talks to acquire Beazer Homes in an all-cash transaction at $33.50 per share, valuing Beazer's equity at about $915 million and the deal at about $2.2 billion on an enterprise-value basis. Dream Finders said Beazer shareholders would receive cash rather than stock in the combined company. Shares of Dream Finders Homes were down 5.40%, while Beazer Homes shares fell 1.79%. Separately, Ademi LLP said it is investigating the transaction for possible breaches of fiduciary duty and other legal violations, alleging that change-of-control benefits for insiders and deal protections could disadvantage shareholders or deter competing bids.
