Robinhood Markets' roughly C$250 million acquisition of Canadian crypto company WonderFi reflects both consolidation in North America's digital-asset industry and the limits Karia Samaroo sees in Canada's business climate. Samaroo, who founded WonderFi in 2021 and served as its CEO, said years of operating under Canada's demanding and fragmented securities framework ultimately made a foreign acquisition the most viable path forward. Robinhood completed its purchase of WonderFi for C$250 million, or about US$179 million, on June 1, 2026. Built through the consolidation of Bitbuy and Coinsquare, WonderFi grew into what Samaroo described as Canada's largest crypto platform, with more than 300,000 funded customers and over C$2 billion in client assets under custody. He said that strategy partly answered the trust vacuum left by QuadrigaCX, the Canadian exchange whose founder died in 2019 with sole access to roughly $190 million in customer funds, and by the later fallout from FTX's collapse. Samaroo argued that Canada's lack of a single national securities regulator forced crypto firms to navigate overlapping provincial and territorial regimes, raising compliance costs and complicating expansion even as regulators tightened oversight and some international platforms exited rather than comply. For Robinhood, he said, the acquisition was a strategic way to enter Canada through an already compliant operation with an established customer base. The deal received approval from CIRO in late May 2026, after which WonderFi delisted from the Toronto Stock Exchange, and pushed Robinhood past 1 million international funded customers. Samaroo framed the sale as part of a broader pattern in which Canadian technology companies scale domestically but ultimately turn to foreign buyers, citing Nuvei and Verafin as examples. In his view, Canada's clearer crypto rules brought legitimacy, but the weight of compliance made long-term scaling harder to sustain.
