Jazz Pharmaceuticals said it will acquire privately held Actio Biosciences for $820 million upfront and up to $500 million in contingent consideration, expanding its rare epilepsy pipeline with ABS-1230, an oral precision therapy for KCNT1-related epilepsy. The disorder affects about 2,500 patients in the U.S., usually begins in infancy and can cause dozens to hundreds of seizures a day, with no FDA-approved treatments currently available. Jazz said ABS-1230 reduced seizures in an early study of children, is being evaluated in a study intended to support a U.S. approval application, and was recently accepted into an FDA program focused on therapies for ultra-rare diseases. Before closing, Actio will spin out a new privately held company holding certain employees and non-epilepsy rare neurological disease programs, including an experimental treatment for Charcot-Marie-Tooth disease, while Jazz takes a minority stake. Both boards have approved the transaction; the latest update says closing is expected by the fourth quarter of this year, while earlier information pointed to the fourth quarter of 2026.
