Alpha Compute said it has signed a binding term sheet giving a subsidiary an exclusive option to acquire mineral, surface and pore-space assets in northern Pennsylvania for a base purchase price of $55 million, alongside a conditional commitment to offtake an initial planned 200 megawatts of power and data center capacity from a proposed greenfield campus. The project is designed to pair AI data center operations with on-site Marcellus gas production and behind-the-meter electricity generation, an approach aimed at securing dedicated power supply as large computing projects face grid constraints. The company said the assets include unleased Marcellus gas rights covering about 1,800 mineral acres with a 100% net revenue interest subject to title confirmation, while existing leasehold rights in the Utica and deeper formations are excluded. A $3 million deposit would become payable after a definitive property purchase agreement is executed and specified conditions are met or waived, and would be credited against the closing payment. Alpha Compute said the initial 200 MW is planned capacity rather than existing operating supply, and any expansion toward 1 gigawatt would depend on diligence, permits, financing and definitive agreements. A third-party evaluation cited by the company concluded gas from the property could support 200 MW of continuous generation for 10 years at an all-in delivered cost of about $0.0585 per kilowatt-hour, below prevailing PJM commercial and industrial rates of roughly $0.08 to $0.10 per kilowatt-hour, though Alpha Compute said those assumptions still require validation. The company said development would require county review, environmental studies and state and regional permitting, and cautioned there is no assurance the transaction will close or the data center will be built.
