The complaint alleges Smartsheet repurchased 1,128,000 shares from June through August 2024 at an average price of $44.34 while Blackstone, Inc. and Vista Equity Partners Management, LLC had made acquisition proposals, beginning with a $56.25-per-share approach in January 2024, before Smartsheet announced a merger agreement at $56.50 per share on September 24, 2024.
