Nagarro SE's Management Board and Supervisory Board have recommended that shareholders accept Galaxy Germany Holding SE's voluntary public cash takeover offer, saying the EUR 81.00 per share price is adequate and fair. The bidder is directly controlled by India's publicly listed Persistent Systems Limited, and Nagarro's boards said the proposed partnership supports the company's current strategy, existing management team and workforce. The offer values shareholders' immediate exit at a substantial premium, including about 140% above Nagarro's EUR 33.74 Xetra price on 25 June 2026, around 93% above the three-month volume-weighted average price and roughly 112% above the one-month volume-weighted average price, both measured through 25 June 2026. The price also stands about 12.5% above the EUR 72.00 median analyst target, adding a EUR 9.00 premium. The acceptance period runs from 6 August 2026 to 17 September 2026, while completion is expected in Q4 2026 or Q1 2027, subject to conditions including a 50% plus one share minimum acceptance threshold, merger-control approvals, foreign direct investment approvals and Reserve Bank of India clearance under FEMA (India's foreign exchange law). The deal is part of a take-private strategy, and the bidder intends to seek a delisting of Nagarro shares from Frankfurt's regulated market after settlement as soon as legally and practically possible.
