Kyndryl said it granted inducement equity awards to newly hired Chief Financial Officer Ellen Johnson and General Counsel and Secretary Andrew Bonzani as part of their employment packages. The company said the awards were approved by the Compensation and Human Capital Committee of the Board of Directors under the NYSE employment inducement exemption in Listed Company Manual Rule 303A.08, which allows listed companies to issue equity awards outside shareholder-approved plans in connection with hiring. Johnson received 248,514 performance stock units, measured at target with payout capped at 180% of target based on performance over a three-year period, 121,248 restricted stock units vesting in four equal annual installments starting on the first anniversary of the grant date, and 115,474 special sign-on RSUs vesting in three equal annual installments starting on the first anniversary. Bonzani received 138,063 performance stock units at target with the same maximum 180% payout opportunity, 67,360 restricted stock units vesting over four years, and 96,228 special sign-on RSUs vesting over three years. The grants were made under the Kyndryl 2026 Employment Inducement Equity Incentive Plan, with terms the company said are generally consistent with its Amended and Restated Kyndryl 2021 Long-Term Performance Plan.
