American Fusion Inc. (OTC: AMFN) has engaged Lucosky Brookman LLP as securities and capital markets counsel for a planned uplisting from the OTC Markets to the Nasdaq Capital Market or another senior national securities exchange. The mandate includes preparing and filing a registration statement with the U.S. Securities and Exchange Commission, handling due diligence and SEC comment responses, and submitting a listing application, in addition to serving as the company’s Exchange Act counsel for Forms 10-K, 10-Q and 8-K, Section 16 filings and disclosure review. The company said the contemplated registration statement would be separate from its previously filed Form 10 registration statement under the Securities Exchange Act of 1934. American Fusion also said it intends to evaluate the Texas Stock Exchange alongside Nasdaq as a possible venue. TXSE received SEC approval of its Form 1 registration on Sept. 30, 2025, began trading operations in July 2026 and has said corporate issuer listings are expected later in 2026. The company, which completed a statutory conversion and redomestication from Delaware to Texas effective Feb. 10, 2026, said it has not submitted a pre-application to TXSE and has not decided on a listing venue. Separately, American Fusion said a previously disclosed effort to pursue a potential dual listing of its common stock in Frankfurt is continuing with separate advisers and is not a substitute for the planned U.S. uplisting.
