OceanaGold said it has signed a definitive scheme implementation deed to acquire Ausgold, owner of the Katanning Gold Project in Western Australia, through an Australian court-approved scheme of arrangement. Ausgold shareholders will receive 0.03365 OceanaGold shares for each Ausgold share, implying an offer value of A$1.36 per share and an equity value of about A$776 million, or US$549 million. Shareholders may elect a cash alternative, subject to scale-back against a maximum cash pool of A$194 million, or US$137 million. The Ausgold board unanimously recommended the transaction, while Dundee Corporation, which holds about 7.7% of Ausgold, also said it intends to vote in favor. OceanaGold said the deal would mark its first acquisition in Australia and add a conventional open-pit development asset with more than 100,000 ounces of annual gold production potential and a mine life of more than 10 years. Katanning is expected to become OceanaGold's fifth asset, with first gold targeted for 2029 after further drilling in 2027 and an updated NI 43-101 technical report in 2028.
