Jefferson Capital, Inc. (NASDAQ: JCAP) said Jefferson Capital Holdings, LLC has priced a $100 million offering of 8.250% add-on senior notes due 2030, extending a private debt issue first sold in May 2025. The notes will initially be fully and unconditionally guaranteed on a senior unsecured basis by certain of the issuer's wholly-owned domestic restricted subsidiaries, with the transaction expected to close on Aug. 20, 2026, subject to customary closing conditions. Net proceeds are slated to repay a portion of borrowings under the company's revolving credit facility, with any remainder for general corporate purposes; the issuer said it may later reborrow under the facility to purchase portfolios and fund acquisitions. The add-on notes are being issued under the May 2, 2025 indenture tied to the issuer's existing $500 million of 8.250% senior notes due 2030, and the unregistered securities are being sold to qualified institutional buyers under Rule 144A and to non-U.S. persons under Regulation S.
