Pomerantz LLP said a class action lawsuit has been filed against PROCEPT BioRobotics Corporation (NASDAQ: PRCT), alleging securities fraud and other unlawful business practices tied to the company’s handpiece sales guidance, field inventory management and related disclosures. The complaint points to a series of earnings updates beginning on August 6, 2025, when Procept disclosed second-quarter U.S. handpiece sales of about 12,750 units and said it expected to ship about 13,350 units in the following quarter, significantly below consensus estimates of more than 13,840 units, while then-Chief Executive Officer Reza Zadno said the Chief Commercial Officer role was being eliminated to strengthen commercial execution. Procept’s stock fell about 16% over a two-day trading period after that update. The suit also cites November 4, 2025 results showing third-quarter handpiece sales of 13,225 units, below the prior quarter’s guidance, and a cut in annual handpiece sales guidance to 52,000 units from 53,000 units to allow for the optimization of field inventory; Chief Financial Officer Kevin Waters and CEO Larry L. Wood said customer inventory levels had not been managed through par levels and some customers were probably carrying too much inventory. Shares fell more than 10% over two trading days on that news. On February 25, 2026, Procept said handpiece sales had materially exceeded procedures in every quarter since the first quarter of 2023, creating cumulative excess field inventory of more than 10,000 units, and that U.S. quarterly handpiece sales had dropped to 9,400 units from 13,225 units in the third quarter, a sequential decline of nearly 30%, after which the stock fell more than 18% over a two-day trading period. Investors have until September 22, 2026, to ask the court to appoint them as lead plaintiff.
