NNS Holding (Cyprus) Limited bought 320,708 OCI shares on Aug. 19, 2026, at an average price of EUR 4.0674 per share. The highest price paid was EUR 4.0750. The purchase represented approximately 0.15% of OCI’s issued share capital and will take NNS’s holding to 121,145,978 shares, or approximately 57.32%, after settlement. Together with Nassef Sawiris, who is also considered a bidder under Dutch bidding rules, NNS will hold 121,535,708 shares, or approximately 57.50%. The transaction follows NNS’s June 24, 2026 press release on the public announcement of the Offer. NNS said it and its affiliates may make further purchases outside the Offer where permitted, while also conducting ordinary-course trading in OCI securities. The company cautioned that the Offer remains subject to risks including timing, regulatory approvals, costs, litigation and operational disruption.
