Essity has agreed to acquire Kenvue’s feminine care business in Brazil for USD 284 million, approximately SEK 2.7 billion, on a cash and debt-free basis. The asset purchase includes the Carefree, Sempre Livre and o.b. brands for sanitary pads, liners and tampons, along with related manufacturing equipment in Brazil. For the 12 months ended June 30, 2026, the business generated approximately BRL 800 million, or about SEK 1.4 billion, in net sales with good profitability. The transaction would strengthen Essity’s position as a market leader in feminine care in Latin America and is subject to regulatory approval in Brazil, other customary closing conditions, and completion of the Kimberly-Clark and Kenvue transaction. Closing is expected during the second quarter of 2027. Essity President and CEO Ulrika Kolsrud said the acquisition establishes a strong position in Brazilian feminine care and advances the company’s strategy of expanding in its most value-creating categories. Brazil is one of the world’s largest hygiene markets and the fourth-largest feminine care market. Essity already leads Brazil’s incontinence products market through its TENA brand and has operations including a production facility in Jarinu, as well as established Professional Hygiene and Medical Solutions businesses.
