Xiao-I Corporation plans to change the ratio of its American Depositary Shares (ADSs, U.S.-traded claims on foreign shares) to ordinary shares from one ADS for 60 ordinary shares to one ADS for 420 ordinary shares. The change will have the same effect for ADS holders as a one-for-seven reverse ADS split and is expected to take effect on or about Sept. 8, 2026, U.S. Eastern Time. Existing ADSs held through The Depository Trust Company will be exchanged automatically, with seven existing ADSs converted into one new ADS by Citibank, N.A., the depositary bank. Xiao-I will continue trading on Nasdaq under AIXI. Fractional ADS entitlements will be aggregated and sold, with net proceeds distributed after fees, taxes and expenses. The transaction will not issue or cancel ordinary shares. The company expects the ADS trading price to rise proportionally but does not guarantee it will equal or exceed seven times the pre-change price.
