ZeroStack completed its MemeCore acquisition on Aug. 19, taking 925,925,926 MemeCore M tokens valued at $1.08 each—about $1 billion in aggregate—in exchange for 3.5 million common shares and pre-funded warrants for roughly 36.2 million more shares. An Aug. 21 resale registration puts a shareholder vote between the company and those warrant shares, which exceed a 19.99% Nasdaq issuance cap and equal about 167.4% of the 21,624,341 shares outstanding as of Aug. 19. If approved and fully issued, the warrant block would lift outstanding shares to 57,822,635, leaving the pre-deal base at about 37.4% of the pro forma total. Only the warrant shares, not the initial 3.5 million, carry a lock-up of up to 10 years that can be waived by mutual consent. The broader S-3 registers 54,609,992 shares for holders including Puple AI, Blockcat, company insiders and venture-linked funds; registration does not mean the shares have been sold, and ZeroStack receives no proceeds from holder resales. MemeCore principal Rudy Rong is expected to become ZeroStack’s president, and the noncash token contribution was the largest item in about $1.298 billion of crypto and blockchain financings disclosed between Aug. 16 and Aug. 22, 2026.
