Tyson Foods, Inc. announced pricing for its cash tender offers covering three series of senior notes. The company will accept $571.26 million of 3.550% senior notes due 2027, $389.974 million of 5.400% senior notes due 2029 and $235.342 million of 4.350% senior notes due 2029, reaching the previously announced $1.2 billion Maximum Tender Cap. The 2027 notes were subject to an $800 million Tender Sub-Cap, while Tyson eliminated the previously applicable 5.400% 2029 Tender Sub-Cap. The 4.350% 2029 notes will be subject to a 43.48% proration factor; the other series have a 100% factor. Total consideration, including a $30 early tender premium per $1,000 of principal, ranges from $994.24 to $1,019.77, excluding accrued interest. Tyson expects settlement on Aug. 26, 2026, and said accepted notes will be retired and canceled. Because the Maximum Tender Cap was reached by the Aug. 21 early tender deadline, notes tendered afterward will not be accepted.
