Pomerantz LLP says a class action lawsuit has been filed against Smartsheet Inc. and certain officers and/or directors over alleged securities fraud and other unlawful business practices. The complaint concerns Smartsheet’s alleged failure to disclose a non-public acquisition offer from Blackstone Inc. and Vista Equity Partners Management, LLC, which initially proposed $56.25 per share on January 24, 2024, before raising and reaffirming the offer at $56.50. While the offer remained undisclosed, Smartsheet had authorized up to $150 million in share repurchases and allegedly bought shares at market prices below the consortium’s proposed acquisition price. Smartsheet’s average share price during the June 1 to September 23, 2024, class period was $46.45. The transaction was disclosed before the market opened on September 24, 2024, and closed on January 22, 2025, at $56.50 per share. Pomerantz’s notice says investors who purchased or otherwise acquired Smartsheet securities during the class period may ask to be appointed lead plaintiff by October 5, 2026; an earlier notice described potential class members as investors who sold shares during the period.
