Somnigroup International Inc. (NYSE: SGI) completed its previously announced all-stock combination with Leggett & Platt, Incorporated on August 26, 2026, in a transaction valued at approximately $2.3 billion based on Somnigroup's closing share price on August 25, 2026, and including Leggett & Platt's existing indebtedness. Leggett & Platt shareholders received 0.1455 Somnigroup shares for each share held and now own approximately 9% of the combined company on a fully diluted basis. The combined business operates more than 170 manufacturing facilities across 37 countries and employs more than 36,000 colleagues. Somnigroup increased its annual run-rate synergy target to $75 million from $50 million. Separately, S&P Dow Jones Indices said Tenable Holdings Inc. (NASD: TENB) would replace Leggett & Platt (NYSE: LEG) in the S&P SmallCap 600 before trading opened on August 31, 2026; the announcement initially described the acquisition as pending final closing conditions, which were subsequently satisfied according to Somnigroup's completion announcement.
