A class action lawsuit has been filed in the U.S. District Court for the Southern District of New York on behalf of people and entities that sold Smartsheet common stock from June 1, 2024, through September 23, 2024, inclusive. The complaint alleges that Smartsheet continued buying shares on the open market while it knew of undisclosed acquisition offers from a consortium comprising Blackstone Inc. and Vista Equity Partners Management, LLC. The consortium initially offered $56.25 per share on January 24, 2024, raised the offer to $56.50 on July 8 and reiterated it on August 21. Smartsheet's average stock price during the class period was $46.45. The transaction was disclosed before the market opened on September 24, 2024, and closed on January 22, 2025, at $56.50 per share. Bragar Eagel & Squire, P.C. said investors have until October 5, 2026, to seek appointment as lead plaintiff and may contact partners Brandon Walker or Melissa Fortunato about their rights. No class has been certified.
