SK Ecoplant said on the 27th through a public disclosure that it will absorb its wholly owned subsidiary, SK Eco Engineering, with the merger taking effect on December 1. The 1-to-0 merger will involve no new share issuance and was approved solely by the board because SK Eco Engineering is wholly owned. Established in October 2021 through the physical division of SK Ecoplant’s plant business division, SK Eco Engineering is being merged back after approximately five years. The companies expect the integration to improve management efficiency and maximize synergies in AI infrastructure by combining engineering, construction and project-management capabilities. SK Eco Engineering’s experience in energy infrastructure and advanced industrial facilities will be combined with SK Ecoplant’s construction and project-management expertise to integrate cost and schedule control from the earliest project stages. The move is intended to improve bid competitiveness and profitability as investments expand in semiconductor FABs and AI data centers, while supporting SK Ecoplant’s goal of becoming an AI infrastructure solutions company under SK Group’s AI full-stack strategy.
