Westbridge Renewable Energy S.A. has signed a definitive share purchase agreement dated August 27, 2026, to sell its Red Willow solar-plus-storage project in Alberta through the sale of all issued and outstanding shares of its wholly owned subsidiary, Red Willow Solar Inc. The transaction could generate total receivables of CAD $26.725 million if all conditions are met. Westbridge is due CAD $10.5 million in cash at closing, reimbursement or replacement of a CAD $4.725 million GUOC amount, CAD $4.5 million when the battery system reaches commercial operation and an additional CAD $25,000 per MWdc when the solar photovoltaic system reaches commercial operation, currently estimated at about CAD $7 million. The transaction remains subject to customary closing conditions, including regulatory approvals, is arm’s length and involves no finder’s fees. Red Willow is an advanced-stage utility-scale project in Stettler County No. 6, central Alberta, with up to 225 MWac of solar generation and a proposed 100 MW battery energy storage system. The Alberta Utilities Commission has approved the project’s power plant and substation, and the project holds an interconnection position in the Alberta Electric System Operator process. Westbridge said the sale supports its strategy of originating, developing and de-risking renewable energy and storage projects across North America and Europe. The company also pointed to Alberta’s Canada-Alberta Technology Innovation and Emissions Reduction framework, prospective large-load transmission requests exceeding 16 GW against a current system peak of approximately 12 GW, and growing U.S. demand from artificial-intelligence infrastructure as potential market drivers. It said its portfolio includes other Alberta and U.S. solar, storage and data-centre projects, but disclosed no relationship or offtake agreement with Google, Meta, Linea Energy, TotalEnergies, Enbridge, AES or other third parties cited as market examples.
