Rackspace Technology, Inc. faces an already filed securities fraud class action in the United States District Court for the Southern District of New York over alleged misstatements and omissions concerning its enterprise AI strategy, Private Cloud and Public Cloud businesses, and financial outlook. The proposed class covers investors who purchased or acquired Rackspace securities from May 7 through July 8, 2026, inclusive. The complaint alleges that after announcing a memorandum of understanding with Advanced Micro Devices, Inc. to build out AI infrastructure, Rackspace reaffirmed full-year revenue guidance and said the AMD partnership fit its technology stack and supported confidence in its full-year Private Cloud growth profile, while its AI efforts would in truth require significant capacity and resource shifts away from revenue-generating segments, including its profitable Private Cloud business, amid Public Cloud pressure from hyperscale platforms. After Rackspace disclosed on July 9, 2026, that AI investments required significant resource re-prioritization and a transition away from certain revenue-generating segments, cutting full-year 2026 revenue guidance by $150 million and its Private Cloud revenue outlook by $25 million, shares fell $2.21, or 33.6%, from a July 8 close of $6.58 to $4.37.
