MSC Income Fund, Inc. closed the first $75 million of a planned $150 million private notes offering on Sept. 1, 2026, with the remaining $75 million scheduled for issuance in October 2026 subject to customary closing conditions. The unsecured Notes carry fixed annual interest of 6.83%, payable semiannually, mature on Sept. 30, 2029, and may be redeemed at the Fund's option at par plus accrued interest and, where applicable, a make-whole premium. MSC Income intends to use the proceeds to repay its $150 million of outstanding 4.04% Series A Senior Notes due 2026 on or before Oct. 30, 2026. Pending that repayment, proceeds may be used to reduce borrowings under the Fund's floating-rate multi-year Corporate Facility and SPV Facility, followed by re-borrowing to fund investments, operating expenses, other cash obligations and general corporate purposes. The Notes are not registered under the Securities Act of 1933 or state securities laws and cannot be offered or sold in the United States without registration or an applicable exemption. MSC Income primarily provides debt capital to private companies owned by or being acquired by private equity funds. Its private loan portfolio companies generally generate annual revenue of $25 million to $500 million, while its lower middle market portfolio companies generally generate $10 million to $150 million. MSC Adviser I, LLC, a wholly owned Main Street Capital subsidiary registered under the Investment Advisers Act of 1940, serves as the Fund's investment adviser and administrator.
