Scienjoy Holding Corporation will acquire 239,234,000 Leader Education shares through Scienjoy Innovation Labs from controlling shareholder Shuren Education for HK$102.69 million, or about US$13.1 million. The stake represents 29.9% of Leader Education's issued share capital and will make Scienjoy the largest outside investor. Shuren and related parties will retain about 32.18%, with Chairman Liu Laixiang and executive director Dong Ling expected to remain controlling shareholders, although their combined holding will sit only slightly above Scienjoy's. Shuren's direct stake will fall from 37.5% to 7.6%, while Junhua Education will retain 24.58%. Scienjoy said it has been integrating artificial intelligence, mixed reality and other technologies into its digital content and lifestyle businesses, and Leader Education's board described the deal as a strategic investment. Completion remains subject to contractual conditions, including due diligence, required waivers and consents, continued listing and limits on trading suspension. Leader Education shares closed down 2.36% at HK$1.45 on Wednesday, valuing the company at roughly HK$1.16 billion.
