AB SKF has called an Extraordinary General Meeting for Oct. 1, 2026, where shareholders will vote on distributing all shares in wholly owned subsidiary SKF Vertevo AB, which contains SKF's Automotive business. Subject to shareholder approval and customary regulatory approvals, SKF expects SKF Vertevo to begin trading on Nasdaq Stockholm on Dec. 1, 2026. Shareholders would receive one SKF Vertevo A share for every five SKF A shares and one SKF Vertevo B share for every five SKF B shares. Fractions would be pooled, sold through Skandinaviska Enskilda Banken AB and distributed through Euroclear on a pro rata basis without commissions. The distribution is expected to qualify under Sweden's Lex Asea rules and therefore not be immediately taxable for Swedish-resident individuals and limited liability companies. SKF estimates the distribution's book value at SEK 11 billion. The operational separation of the Automotive business has been completed, and the future SKF Vertevo board and management team have been established. Håkan Buskhe will chair SKF Vertevo, while Therese Friberg and Hock Goh will resign from AB SKF's board.
