ARK Venture Fund and ARK Investment Management are seeking U.S. Securities and Exchange Commission relief to offer a Tokenized Class of fund shares, while the agency has not issued a final approval order. The SEC published notice of the application on Aug. 24 and set a Sept. 18, 2026, 5:30 p.m. Eastern Time deadline for hearing requests; absent a hearing order, the Commission can grant the requested relief. ARK is pursuing the share class through the conventional exemptive-application process rather than waiting for a proposed SEC tokenization framework that has not been adopted or formally proposed. The filing would amend a November 2025 multiclass order and add an Exchange Class that could list on a national securities exchange, alongside a Tokenized Class whose ownership would be recorded using distributed ledger technology. Tokenized shares would be issued at net asset value through the fund's subscription process without a sales load. They could trade through registered alternative trading systems, other quotation mediums or direct transfers between approved wallets, but ARK is not seeking permission to list or quote them on decentralized-finance platforms. The filing expressly does not seek exemptive relief for the use of distributed ledger technology itself, and it does not identify a blockchain, tokenization provider, trading venue or launch schedule.
