The Simply Good Foods Company (NASDAQ: SMPL) faces a securities class action covering investors who purchased its shares from October 24, 2024, through April 8, 2026. Kahn Swick & Foti, LLC and KSF partner Charles C. Foti, Jr., former Attorney General of Louisiana, reminded investors that October 13, 2026, is the deadline to seek appointment as lead plaintiff in the case pending in the U.S. District Court for the Southern District of New York. The complaint alleges that Simply Good Foods and certain executives failed to disclose material information about its 2024, $280 million acquisition of Only What You Need, Inc., whose OWYN segment later suffered product-quality and operational problems. The company said on October 23, 2025, that a pea-protein sourcing decision made before the acquisition closed and implemented shortly afterward caused taste and texture issues as products aged, contributing to negative ratings and reviews and weaker sales. It also issued fiscal 2026 net-sales guidance ranging from negative 2% to positive 2%, compared with 9% growth in fiscal 2025, and its shares fell more than 17%. On April 9, 2026, Simply Good Foods reported that OWYN quarterly sales fell nearly 17% year over year, recorded a $187 million impairment charge against OWYN brand intangible assets and cut its fiscal 2026 sales outlook to negative 7% to negative 10%; the shares fell more than 27% over two trading days. Earlier investor notices also cited alleged management departures, higher general and administrative costs, heavier discounting, reduced brand support and broader integration failures. No class has been certified, and investors may remain absent class members rather than seek lead-plaintiff status.
