Korea Zinc shareholders elected four independent directors and board nominee Baek In-kyu to the audit committee at an extraordinary general meeting in Seoul on Sept. 9, reinforcing Chairman Choi Yun-beom’s control of the board. Choi’s camp and the Young Poong-MBK Partners alliance each secured two independent-director seats through cumulative voting, but Baek won the separate audit committee election with 5,092,815 votes, or 81.8% of votes cast, while alliance nominee Park Yoo-kyung received 1,739,065 votes, or 27.93%. The board is now split 12 seats for Choi’s side and seven for Young Poong-MBK, compared with a previous 9-to-5 balance. Shareholders also unanimously approved an amendment increasing the number of separately elected audit committee members, ahead of a revised Commercial Act taking effect Sept. 10.
