Korea Zinc shareholders elected Baek In-kyu, the board-backed nominee supported by Chairman Choi Yoon-birm, to the audit committee at the company’s 53rd extraordinary shareholders meeting in Seoul on Sept. 9. Baek received 5,092,810 votes out of 6,225,934 voting shares present, or 81.8% support, while Park Yu-kyung, backed by Young Poong and MBK Partners, received 27.93%. The vote was subject to the 3% rule, which limits the combined voting rights of a largest shareholder and related parties on relevant matters. The meeting also approved a bylaw amendment expanding separately elected audit committee members from one to at least two at large listed companies, while five director appointments expanded the board from 14 to 19 seats. Choi’s side now holds 12 seats against seven held by Young Poong and MBK Partners, strengthening its position in the management-control dispute.
