American Industrial Technologies expects consolidated revenue of approximately $45 million and continued profitability for the third quarter ending Sept. 30, 2026. The company is advancing a non-binding letter of intent with SIM Acquisition Corp. I (Nasdaq: SIMA) for a deSPAC transaction, a merger involving a special-purpose acquisition company, that could take AIT public and provide a path to a Nasdaq listing. The deal has a 45-day exclusivity period but remains subject to due diligence, definitive agreements, regulatory, board and shareholder approvals, and customary closing conditions. AIT said third-quarter revenue would come from existing businesses and proforma contributions from its expanded international platform. Its operations span secure communications, mobility, drones, artificial intelligence and autonomous systems, with investments during 2026 in U.S. manufacturing, secure mobility and distribution infrastructure. Founded more than three decades ago, AIT operates a 33-year carrier launch and device distribution business, logistics infrastructure across the United States, Europe and Latin America, and an Orlando facility employing more than 200 people. The company is bringing manufacturing capacity online in 2026 for drones, counter-UAS systems and secure encrypted devices. The proposed transaction and related initiatives remain subject to risks including shareholder redemptions, minimum cash requirements, export controls and the negotiation of definitive agreements, including a potential agreement with ideaForge.
