Copart Inc. agreed to acquire ACV Auctions Inc. for $10.50 per share in cash, valuing ACV's equity at approximately $1.9 billion. The transaction would combine Copart's auction infrastructure and buyer network with ACV's dealer-focused digital wholesale marketplace, inspection tools, pricing data and AI-powered valuation services. Both boards unanimously approved the deal, which Copart expects to close by the end of 2026, subject to regulatory approval and customary conditions. Copart said the acquisition should increase earnings in the first full year after closing, while an earlier company outlook described it as neutral to earnings per share in that period and accretive beginning in fiscal 2028. Fourth-quarter revenue reached $1.15 billion, exceeding the $1.14 billion consensus estimate, while earnings of $0.35 per share missed the $0.38 consensus estimate. Revenue per unit rose 5.4% and global average selling prices increased 3.5%, but worldwide unit sales declined 2.9%, led by a 5.7% decrease in U.S. units. Copart ended July with about $5.7 billion of liquidity, including $4.5 billion in cash, cash equivalents and held-to-maturity securities and $1.25 billion of revolving credit capacity. CPRT rose 4.55% to $32.15 in Friday premarket trading in the latest reported market snapshot.
