Oklo has unveiled an at-the-market equity distribution program allowing it to raise up to $1 billion through sales of Class A common shares. Goldman Sachs, BofA Securities, Citigroup, J.P. Morgan, Morgan Stanley, Barclays, Cantor Fitzgerald, Guggenheim Securities, Canaccord Genuity and B. Riley Securities will act as sales agents, receiving commissions of up to 1.5% of gross proceeds from shares they sell. The program, disclosed in a September 11, 2026, regulatory filing, permits sales through the New York Stock Exchange, market makers, privately negotiated transactions and block trades, with pricing based on market conditions or negotiated terms. Oklo can determine when and how much stock to sell and can set a minimum price. Either the company or the banks can terminate the arrangement. It replaces an agreement initiated on May 13, 2026, which was terminated on September 10 after Oklo sold 17,971,448 shares for roughly $1 billion without paying termination fees. OKLO shares fell 7% to $37.09 at publication on Friday, near their 52-week low of $36.61, as investors responded to the potential dilution. Oklo remains a development-stage, pre-revenue nuclear company developing small modular reactors and has relied on equity financing to fund operations. Earlier coverage had identified the predecessor facility as a December 4, 2025, program that raised about $1.5 billion from roughly 15.77 million shares, creating a discrepancy with the figures and dates in the latest filing.
