QuantumCore Ltd completed its acquisition of all outstanding Avalanche PhotoniQ shares under an agreement effective September 9, 2026, valuing the transaction at C$2.0 million. The deal adds a single-photon detector platform based on proprietary semiconductor metasurface technology to QuantumCore’s existing superconducting quantum hardware portfolio. QuantumCore paid C$1.07 million in cash at closing and will owe C$930,000 after Avalanche completes 100 qualifying detectors, payable in cash, shares, or both, subject to securities rules and Canadian Securities Exchange requirements. The sellers may also receive a C$1.0 million earn-out if qualifying products or services generate C$1.0 million in annual net revenue during the earn-out period. QuantumCore plans foundry production and customer evaluation of the detectors for photonic computing, quantum communications, networking, sensing, advanced imaging, and potentially neutral-atom and trapped-ion systems. Its shares closed at $2.89, down 2.36%, after trading above $3.00 intraday. The acquisition supports a strategy to supply signal generation, amplification, detection, and readout components across multiple quantum-computing architectures.
