The Smarter Web Company is considering an initial public offering of non-voting preferred shares under the reserved ticker MORE on the London Stock Exchange, targeting £15 million to £25 million in gross proceeds. The shares would have a nominal value of £0.001 each and offer a cumulative variable-rate preferential dividend paid weekly, a liquidation preference and a company redemption right, but no voting rights at general meetings. Smarter Web said the capital could support revenue-generating web-business acquisitions, working capital and continued Bitcoin treasury expansion. The proposal requires shareholder approval at a September 28, 2026 meeting in Bristol, Financial Conduct Authority approval of a prospectus and the satisfaction of minimum fundraising, market-maker and public-float conditions. Smarter Web held about 2,747 BTC in an early-September update and recently repaid a $11.7 million convertible instrument with 177.89 BTC, avoiding potential issuance of more than 7.7 million ordinary shares. Its ordinary shares rose more than 15% on the day the preferred-share plan was announced.
