Gran Tierra Energy is asking holders of its 9.750% Senior Secured Amortizing Notes due 2031 to approve amendments to the notes’ indenture in connection with the planned sale of Gran Tierra Energy CI GmbH to Maurel & Prom Andina S.A.S., an indirect wholly owned subsidiary of Établissements Maurel et Prom S.A. The notes have US$479,353,000 outstanding, and eligible holders who deliver and do not revoke their consents will receive US$2.50 per US$1,000 of principal on the sale’s closing date. At completion, the purchaser will assume Gran Tierra’s obligations under the indenture, notes and applicable collateral documents, subject to the stated conditions. The proposed changes would release certain collateral, waive successor-issuer debt coverage tests for the sale, clarify that the sale is not a change of control, update accounting and reporting provisions, and permit certain Sinu-9 gas-license working-interest acquisitions in Colombia as permitted investments. The interest rate, payment terms, maturity date and specified first-ranking pledge securing the notes would remain unchanged. At least 50% of the notes’ outstanding principal must consent. Consents are due by 5:00 p.m. New York City time on September 22, 2026, unless extended or terminated earlier. The solicitation and fee remain conditional on obtaining the required consents and completing the sale.
