Tyra Biosciences priced an underwritten offering of 9,079,000 common shares at $22.03 each and pre-funded warrants to buy 9,078,529 shares at $22.029 each. The pre-funded warrants carry a $0.001 exercise price, making their purchase price equal to the common-stock offering price less that exercise price. Gross proceeds are expected to reach approximately $400.0 million before underwriting discounts, commissions and other expenses. The offering is expected to close on September 15, 2026, subject to customary conditions. Tyra plans to use the net proceeds and existing cash, cash equivalents and marketable securities to advance its dabogratinib 3x3 strategy in low-grade upper tract urothelial carcinoma, intermediate-risk non-muscle invasive bladder cancer and achondroplasia, while also supporting preclinical and drug-discovery work, working capital and general corporate purposes. The company is developing precision medicines focused on FGFR (fibroblast growth factor receptor) biology, including oral dabogratinib, TYRA-430 and TYRA-200.
