Rocket Lab Corporation has completed a $1.944 billion At-The-Market equity offering to finance its proposed $8 billion acquisition of Iridium Communications Inc. The company issued 29.3 million shares, retained Iridium’s $1.775 billion term loan through an amended credit agreement and canceled a $3.6 billion bridge facility. The proceeds, existing liquidity and Iridium’s term loan are intended to cover the transaction’s cash consideration, certain Iridium debt and related expenses. The acquisition remains targeted for mid-2027, subject to shareholder, regulatory and other approvals. Rocket Lab shares rose 2.08% to $63.85 on Tuesday, outperforming declines in the Nasdaq and S&P 500. The stock remained below its 20-day, 50-day and 200-day simple moving averages, although its MACD indicated easing selling pressure. The acquisition would combine Rocket Lab’s launch vehicles, spacecraft manufacturing and satellite systems with Iridium’s global L-band network, licensed spectrum and more than 2.5 million subscribers across government, defense, aviation, maritime and commercial markets. Investors continue to weigh potential dilution, the delayed Neutron debut and Rocket Lab’s expansion requirements.
