Tessera Defense and Homeland Security has amended its investment agreement with Israel-based M.E.A. Testing Systems Ltd. to raise its equity stake from 10% to 15%. Tessera will pay $50,000 in cash and issue 130,000 common shares, plus 65,000 additional shares subject to NYSE American approval. It will also provide MEA with a convertible loan facility of up to $475,000 for working capital and drone-related activities. The agreement includes an exclusive, perpetual, worldwide license to MEA’s technology and know-how, as well as an exclusive option to acquire the remaining interest held by MEA’s majority shareholder, Motomova Inc., at a price based on MEA’s audited fiscal 2027 results. MEA develops testing technology for electric motors, rotating machines and propulsion systems used in drones, aircraft, robotics and ground vehicles. Its patented load-free inertial dynamometer systems evaluate motor performance during acceleration and deceleration without traditional external mechanical loads. MEA will remain majority owned by Motomova, with its management unchanged. Tessera CEO Michael Oster said the testing capability will support the company’s AI-driven security platform, while the company cautioned that the transaction’s benefits, loan conversion, share issuance, option exercise and technology integration remain subject to risks and, where applicable, NYSE American approval.
