Oscotec has completed a special committee to pursue full ownership of Genosco, its U.S.-based drug research and development subsidiary, and has begun preparing an external valuation process. The company currently owns 59.31% of Genosco, whose original developer created Yuhan Corporation's lung cancer treatment Lazertinib, marketed as Leclaza, which became the first Korean-developed cancer drug approved by the U.S. Food and Drug Administration. The plan gained momentum after Seong Yeon, Oscotec's largest shareholder with a 12.46% stake, signed a joint voting agreement with second-largest shareholder Lee Ki-yoon, chairman of GK Asset, who owns 9.79%. Their combined 22.25% stake could ease shareholder opposition that previously impeded acquisition financing and other corporate resolutions. The committee, chaired by independent director Kim Kyu-sik, former president of the Korea Corporate Governance Forum, will review the selection of multiple external valuation firms, transaction terms, financing options and potential conflicts of interest. Seong Yeon personally owns Genosco shares, making valuation and any possible share-for-share transaction particularly sensitive because a higher Genosco valuation could increase issuance and dilution for existing Oscotec shareholders. After valuation and outside advice, Oscotec plans to negotiate with remaining Genosco shareholders and determine whether to attract strategic or financial investors. No specific investors or funding methods have been selected, and expanding authorized share capital may require shareholder approval.
