Halozyme Therapeutics priced $1.3 billion of 1.50% convertible senior notes due 2033, raising the offering from $1.05 billion. Initial purchasers received a 13-day option to buy up to another $200 million. The notes will be senior, unsecured obligations, with an initial conversion price of approximately $139.84 per share, a 27.5% premium to Halozyme's September 17 closing price of $109.68. Halozyme expects approximately $1.275 billion in net proceeds, or $1.471 billion if the option is fully exercised. The company plans to spend approximately $162.5 million on capped call transactions, repurchase portions of its 2027 and 2028 convertible notes, and use the remaining proceeds for general corporate purposes, potential acquisitions, strategic transactions and possible future note repurchases. The offering is expected to close on September 22, 2026, subject to customary conditions.
