CleanSpark priced $2.276 billion of 7.875% senior secured notes due 2031 at 98.5% of principal through its subsidiary CSDC Finance I LLC. The offering is expected to close on Sept. 25, 2026, subject to customary conditions, and will finance remaining construction of the 175-megawatt Sandersville, Georgia, data-center campus, reimburse prior equity contributions and fund debt-service reserves. The facility is supported by a 20-year triple-net lease with Meta Platforms subsidiary Anviran LLC, under which Meta covers rent and operating expenses. The notes will be guaranteed by CSRE Properties Sandersville LLC and secured by first-priority liens on substantially all assets of the issuer and guarantor, as well as the issuer's equity interests held by its parent. CleanSpark will provide a completion guarantee if note proceeds are insufficient. The transaction marks the company's expansion from Bitcoin mining into contracted AI and high-performance-computing infrastructure, while the private offering remains subject to market conditions and has not been registered under U.S. securities laws.
