SoftBank Group is pursuing a bond sale exceeding $11 billion to help fund a $10 billion installment for its additional investment in OpenAI, due to close on October 1. The proposed offering includes $10 billion of dollar-denominated senior unsecured notes across 3-1/2-year, 5-1/2-year and 7-1/2-year maturities, and €1 billion of euro-denominated notes with four-year and six-year tenors. Proceeds would refinance a separate $10 billion bridge facility arranged for the OpenAI obligation, while any remainder could be used for general corporate purposes. Pricing is anticipated on September 24 and settlement on September 29. Fitch Ratings assigned the prospective notes a BB+ rating, saying leverage is set to rise as SoftBank funds its commitments but that the company should retain adequate liquidity and funding access. If completed at the planned size, the sale would be the largest non-financial corporate bond offering recorded in Asia-Pacific and Japan markets, based on LSEG data cited by Reuters. The financing adds to SoftBank's wider debt-raising campaign as Chairman Masayoshi Son expands the group's exposure to artificial intelligence through OpenAI and related infrastructure.
