The Simply Good Foods Company faces a proposed securities class action filed in the U.S. District Court for the Southern District of New York over alleged misstatements and omissions concerning its $280 million acquisition of Only What You Need, Inc., or OWYN. The complaint, Monroe County Employees’ Retirement System v. The Simply Good Foods Company, No. 26-cv-06971 (S.D.N.Y.), alleges that key managers left after the acquisition, the company adopted a costly and ineffective organizational structure, product-quality problems damaged sales and customer loyalty, and execution failures led to discounting and reduced brand support. Good Foods acquired OWYN in an all-cash deal that closed on June 13, 2024, and later said its integration was progressing as planned. On April 9, 2026, the company reported that customer consumption had fallen across its brands and that OWYN quarterly sales had declined nearly 17% year over year; the company also disclosed a $187 million impairment charge, cut its 2026 net-sales outlook to negative 7% to negative 10%, and later recorded another $13 million impairment, bringing cumulative OWYN impairments to $200 million, or 70% of the purchase price. Shares fell from $14.41 on April 8 to $10.44 on April 10, a decline of more than 27%. Bernstein Liebhard LLP reminded investors that those who purchased or otherwise acquired SMPL securities during the October 24, 2024, through April 8, 2026, class period have until October 13, 2026, to seek lead-plaintiff status. The class has not been certified, and investors may remain absent class members without taking action.
