Toro Corp. has set October 1, 2026, as the record date for the planned spin-off of its wholly owned subsidiary, AI OKTO CORP. Toro shareholders are expected to receive one AI OKTO common share for every eight Toro common shares held at the close of business on that date, with distribution targeted for about October 8, 2026. The transaction remains conditional on AI OKTO’s Form 20-F registration statement being declared effective and approval for its common shares to list on the Nasdaq Capital Market. Toro said there is no assurance the spin-off will occur or that its terms and timing will remain unchanged. Nasdaq is expected to establish due-bill procedures, under which Toro shares will trade with the distribution entitlement from the record date through the distribution date. Buyers during that period would receive the distribution, while sellers would relinquish it, subject to broker-level settlement procedures. Toro operates four MR tanker vessels and two LPG carriers and trades on Nasdaq under TORO.
