Hyperscale Data, Inc. (NYSE American: GPUS) is taking steps to form Patriot BTC, a proposed subsidiary for its Bitcoin mining operations and related assets. The company intends to transfer its Montana data center, Bitcoin miners, mining equipment and supporting infrastructure to the subsidiary, separating the mining business from its Michigan AI data center strategy. Hyperscale Data shares closed 4.57% higher at $0.1901 and rose another 1.33% to $0.1907 pre-market. Patriot BTC would operate as a focused Bitcoin mining and infrastructure business, while Alliance Cloud Services and Sentinum would continue work on financing, developing and positioning the Michigan facility. Hyperscale Data has not completed the formation, finalized the subsidiary's capitalization or approved a transaction structure. Management may later seek to place Patriot BTC within a publicly traded entity, subject to board approval, securities and exchange requirements, and tax, accounting and other legal conditions. The company expects to provide further details as the structure and funding framework are determined. Hyperscale Data currently expects its divestiture of Ault Capital Group to occur in 2027.
